ZayZoon USA Program Terms
ZAYZOON PROGRAM TERMS
Effective Date: January 9, 2026
Welcome to ZayZoon. These Program Terms (“Terms”) form a legal agreement between you and ZayZoon US Inc. (“ZayZoon,” “we,” “us,” or “our”) and apply to your use of the ZayZoon platform, website, mobile applications, and related services that we make available from time to time (“Services”). These Services include Earned Wage Access (“EWA”), Off-Cycle Pay, and any other features, products, or services that may be made available to you. Please read these Terms carefully.
By creating or using a ZayZoon account, clicking “I Agree,” checking a box, or taking any similar action to indicate your acceptance of these Terms, by linking your bank account, card, or digital wallet to ZayZoon, or by accessing or using any Service, you (i) acknowledge that you have received, read, and understand:
- these Terms;
- Our Privacy Policy at www.zayzoon.com/usaprivacy;
- The Earned Wage Access Terms at www.zayzoon.com/usaterms;
- The Off-Cycle Pay Agreement at www.zayzoon.com/usaoffcycleterms; and
- any additional product or feature‑specific terms we present to you, and
(ii) agree that all of them are incorporated into and form part of these Terms, and (iii) agree to be legally bound by all of them.
PART I – GENERAL TERMS (YOUR ZAYZOON ACCOUNT AND RELATIONSHIP WITH US)
This section outlines the general terms that govern your relationship with ZayZoon when you use any of our Services, now or in the future. It explains who can use the platform, what your responsibilities are, and how we communicate with you.
1. Who Can Use ZayZoon (Eligibility)
You must be at least 16 years old and employed by an employer that participates in ZayZoon’s Services and through which ZayZoon makes the Services available to you. You may only use the platform for your own personal, individual use and not on behalf of any other person. Your ability to access particular Services (for example, EWA or Off-Cycle Pay) may also depend on additional eligibility criteria set by your employer or by ZayZoon, and we may decline, suspend, or limit your access to any Service in our discretion, to the extent permitted by law.
2. Creating an Account (Registration and Security)
When you create a ZayZoon account, you agree to provide information that is accurate and complete and to keep that information up to date at all times. You must keep your login credentials (such as usernames, passwords, and security codes) and any devices you use to access ZayZoon secure and under your control. If your contact, employment, or bank information changes, you are responsible for updating it promptly in your account. You must notify us immediately if you believe your account has been accessed without your authorization or if your login credentials have been compromised.
3. Electronic Communications and Signatures (E‑Sign Consent)
By agreeing to these Terms, you consent to receive all notices, disclosures, statements, policies, agreements, and other communications from us electronically, including by email, in‑app messages, SMS (if you have opted in), or through our website or mobile application. You also agree that your electronic agreement or signature—including clicking “I Agree,” checking an opt‑in box, or using a Service after being presented with terms—has the same legal effect as a handwritten signature and that any records we maintain of your electronic consent are sufficient to show your agreement to these Terms and to any incorporated product‑specific terms.
4. Getting Paid Through ZayZoon (How We Send You Money)
You authorize ZayZoon to receive payment instructions from your employer and to deposit funds to your linked account, card, pay card, or digital wallet, as applicable. These funds may include wages, bonuses, commissions, tips, reimbursements, or other types of compensation that your employer authorizes. Funds may be delivered using ACH, card, pay card, push‑to‑card, wallet, or another method supported by our system and our third‑party payment partners. Actual availability of funds may depend on processing times of the applicable payment networks, financial institutions, and your employer.
5. ACH Authorization (Credits, Debits, and Corrections)
You authorize ZayZoon and its payment partners to electronically credit your account and, to the extent permitted by law and the rules of the ACH network, to debit or reverse entries (including correcting erroneous credits) if necessary to correct an error, recover funds sent to you in error, or complete a transaction that you have authorized. All such transactions will comply with applicable laws and the rules of the ACH network. You agree to ensure that sufficient funds are available in your account to cover any authorized debits and acknowledge that your financial institution may charge fees (such as overdraft or insufficient funds fees) that are separate from any amounts charged by ZayZoon.
6. Privacy and Data Use (Our Privacy Policy)
We are committed to protecting your privacy. By using ZayZoon, you agree that we may collect, use, and share your information as described in our Privacy Policy, which is incorporated into these Terms by this reference. This includes sharing your information with your employer and with our service providers, payment partners, and other third parties as needed to deliver, maintain, and improve our Services, to comply with legal obligations, and to prevent fraud or misuse. 7. Your Responsibilities (Keeping Your Information and Activity Accurate)
You are responsible for maintaining accurate and current information in your account, including your contact, employment, and bank details. You should regularly review your payment and transaction history made available through the Services and notify us promptly of any errors, unauthorized transactions, or other issues. If you have questions about the amount of wages or other compensation you earned, you must work directly with your employer, as ZayZoon is not your employer and does not determine your wages or hours. You agree not to use the Services for any illegal, fraudulent, or prohibited purpose.
8. Changes to These Terms (Updates and New Products)
We may update or otherwise change these Terms, our Privacy Policy, and any product‑specific terms from time to time, for example to reflect new Services, legal requirements, or business needs. If we do, we will provide notice to you by posting the updated terms within the ZayZoon platform or on our website and/or by sending you an email, in‑app message, or other reasonable notice. Unless otherwise stated in the notice, the updated terms will become effective when posted or on the effective date stated in the notice. Your continued access to or use of any Service after the effective date of any change means that you accept the updated terms.
9. Ending Your Account (Suspension and Termination)
You may close your ZayZoon account at any time, subject to any obligations that have already arisen under these Terms and any applicable product‑specific terms. We may also suspend, limit, or terminate your account or access to any or all Services at any time, with or without notice, if you violate these Terms, if we suspect fraud, misuse, or unauthorized activity, if your employment status changes, if your employer ceases to participate in our Services, or if we are required to do so by law, by our financial partners, or for security or risk‑management reasons. Closing or suspending your account will not affect any rights or obligations that have already accrued, including our rights related to correcting errors or reversing funds sent to you in error.
10. Disputes and Governing Law (Arbitration and Delaware Law)
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or any Service, are governed by the laws of the State of Delaware, without regard to its conflict‑of‑laws principles, except to the extent that applicable law in your state of residence requires otherwise. Except where prohibited by law, any such dispute, claim, or controversy must be resolved through binding, individual arbitration and not in a class, representative, or consolidated action. Nothing in this section limits your or our rights to seek relief in a small‑claims court where permitted by applicable law or to seek temporary or preliminary injunctive relief in a court of competent jurisdiction.
PART II – EARNED WAGE ACCESS (EWA) TERMS (GETTING EARLY ACCESS TO EARNED WAGES)
This section describes how the Earned Wage Access service works and what it means for you, including how and when fees may apply (and the availability of a fee‑free option), how we are paid back through your employer, and the limits and eligibility rules that may apply to your use of EWA.
ZayZoon’s Earned Wage Access service allows you to access a portion of your earned wages before your employer’s scheduled payday. When you request an advance, ZayZoon delivers funds to your linked account or other eligible payout method. The amount you can access is based on information we receive from your employer (such as your hours worked or wages earned) and any limits imposed by your employer or by ZayZoon. We are then repaid directly by your employer on your next payday or other agreed‑upon settlement date; you are not required to make separate payments to ZayZoon to repay an EWA transaction.
ZayZoon does not perform hard credit checks in connection with EWA transactions and does not report EWA transactions to consumer reporting agencies or credit bureaus. Some EWA transactions may include optional fees or charges, which will be clearly disclosed to you at the time you make a request; however, ZayZoon always offers a way to access earned wages through EWA without paying a fee (a fee‑free option). Your ability to use EWA, including how much you can access and how often, may be subject to eligibility criteria and limits set by your employer or by ZayZoon and may change from time to time.

If there is any conflict between these Program Terms and the Earned Wage Access Terms with respect to EWA, the Earned Wage Access Terms will control to the extent of the conflict.
PART III – OFF-CYCLE PAY TERMS (ONE‑TIME OR OFF‑SCHEDULE PAYMENTS)
This section explains how Off-Cycle Pay works and what to expect if your employer uses it to pay you, including that it is not a loan, how we may correct errors or overpayments, and your responsibilities to your employer if you receive funds you were not entitled to receive.
Off-Cycle Pay allows your employer to send you payments outside of your normal pay schedule. This might include a bonus, a tip, a final paycheck, a correction, a reimbursement, or another type of one-time or irregular payment. ZayZoon facilitates these payments by receiving instructions from your employer and delivering the funds to your linked account, card, or other eligible payout method, often through our third‑party payment partners. ZayZoon does not determine whether you are entitled to any Off-Cycle Pay amount; that determination is made by your employer.
You are not borrowing money from ZayZoon. Off-Cycle Pay is not a loan, and you are not required to repay us. However, if funds are sent to you in error, if you receive funds to which you were not entitled, or if there is another mistake in processing an Off-Cycle Pay payment, we may initiate a reversal, debit, or other correction to your account or payout method, as allowed by law, by the rules of the applicable payment networks, and by these Terms. You remain responsible to your employer for any overpayments or misdirected funds, and you agree to cooperate with your employer and ZayZoon in correcting any such errors.

If there is any conflict between these Program Terms and the Off-Cycle Pay Terms with respect to Off-Cycle Pay, the Off-Cycle Pay Terms will control to the extent of the conflict.
PART IV – ADDITIONAL PRODUCTS AND FEATURES (OPTIONAL AND FUTURE SERVICES)
From time to time, ZayZoon may offer additional services or features. These may include tip disbursements, reimbursements, pay cards, virtual wallets, or other products or services. If you choose to use these services, you will be provided with additional terms that apply to those services (collectively, “Additional Product Terms”). You may be required to affirmatively agree to those terms (for example, by clicking “I Agree,” checking a box, or taking another affirmative action) before using the new service, and those Additional Product Terms will be incorporated into and form part of these Terms.

By signing up for a ZayZoon account, clicking “I Agree” or checking a box to accept these Terms, linking a bank account, card, or wallet, or using any of our Services, you agree to be bound by these Terms, our Privacy Policy, the Earned Wage Access Terms, the Off-Cycle Pay Terms, and any Additional Product Terms referenced above or otherwise presented to you, all of which are incorporated into and form part of this agreement between you and ZayZoon.
