ZayZoon Tiered Referral Terms

PLEASE READ THESE REFERRAL TERMS CAREFULLY.

This “Agreement” (these referral terms together with the documents referred to in it) sets out the terms which govern our referral program (“Tiered Referral Program”). Please read this Agreement carefully before you use our Referral Program.

For information about ZayZoon’s data protection practices, please read ZayZoon’s Privacy Policy, which is hereby incorporated into this Agreement. The Privacy Policy explains how ZayZoon treats your Information (as defined in Section 3) when you use the ZayZoon Services, and includes your authorization for our use of your data. The Privacy Policy and this Agreement may be updated from time to time at our discretion. Changes will be effective upon posting to the site.

By using our Referral Program, you confirm that you accept this Agreement, including the Privacy Policy, and that you agree to comply with it. If you do not agree to the terms of this Agreement, you must not use our Referral Program.

REFERRALS

1.1. Subject to your compliance with the terms of this Agreement, ZayZoon shall pay you a referral fee to your personal account (as set up by you in your ZayZoon account) (“Referral Fee”) if you meet the Referral Program requirements (as in force at that time) for your program. Learn about how the referral program works, including how many friends you need to invite, the amount of the Referral Fee you will be entitled to and the conditions attached to the Referral Program. In this Referral Program, the Referral Fee will be determine based on the number of Active Customers from your particular worksite (as defined by ZayZoon) as a percentage of the total number of employees at such worksite, and when a new customer becomes a Referred Customer (as defined in Section 1.2 below). An "Active Customer" is an employee that has taken at least one advance using ZayZoon's service. The timing of each Referred Customer's first advance will be the sole factor for determining when the customer has become a Referred Customer, and what the applicable Referral Fee will be.

If less than 10% of the total employees at your worksite are Active Customers at the time an employee becomes a Referred Customer, the applicable Referral Fee will be $100. If 10.01-20% of the total employees at your worksite are Active Customers at the time an employee becomes a Referred Customer, the applicable Referral Fee will be $50. If 20.01-30% of the total employees at your worksite are Active Customers at the time an employee becomes a Referred Customer, the applicable Referral Fee will be $40. If over 30% of the total employees at your worksite are Active Customers at the time an employee becomes a Referred Customer, the applicable Referral Fee will be $30.

1.2. You may use the Referral Program by sharing a unique link, or by having each person you refer add the invitation within 30 days after signing up with ZayZoon using this link. For the avoidance of doubt, it shall not be possible to add the invitation after 30 days from signing up with ZayZoon. Provided the individual using your referral link or code, as applicable, is a new customer to ZayZoon, they will be a "Referred Customer" at the time that they take their first advance. For clarity, a customer will not be a Referred Customer if they have previously signed up for ZayZoon, if they do not take an advance, or if they do not sign up using your unique code or link (or notify us within 30 days of signing up that you referred them). This Referral Program will end on June 30, 2024 at 11:59 PM EST, and no new customer can become a Referred Customer after this time.

1.3. Provided you meet the requirements (as in force at that time) more than once, you are entitled to a Referral Fee each time Referred Customer that signs up using your unique code or link.

1.4. You must be a registered user of ZayZoon to use the Referral Program.

1.5 This particular Referral Program is being offered on a limited basis, and is separate from our standard referral program. There is very limited eligibility for this Referral Program. If you are uncertain if you are eligible, please go to the live chat on www.zayzoon.com to ask our customer success team. You cannot be eligible for this Referral Program and our standard program at the same time.

1.6 You must claim your Referral Fee within six (6) months from the date it was granted. If you fail to claim such amount, it will expire and you will no longer be eligible to receive such amount.

1.7 For tax reasons, if the total you have earned within a calendar year is anticipated to be $600 or greater, we will require you to submit certain information for required tax filings. If you fail to submit this information, you will not be eligible to receive any referral fees or other amounts (this does not apply to your earned wages) in excess of $599.

2. PROHIBITED USES

2.1. You may only use our Referral Program in good faith for lawful purposes. You may not:

(a) create more than one account in order to invite yourself;

(b) invite others that have created duplicate accounts;

(d) invite an existing customer of ZayZoon;

(e) do anything that damages ZayZoon’s brand, goodwill or reputation;

(h) use the Referral Program in: (i) any way that breaches any applicable local, national or international law or regulation; or (ii) any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect; (iii) in any way that contravenes any other agreements we have with you;

(i) to transmit any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam); or

(j) to transmit any unsolicited or unauthorized advertising either via paid search or any other similar activity, including channels that can damage the ZayZoon brand, goodwill or reputation.

2.2. Any obligation on you not to do something includes an obligation not to allow that thing to be done.

3. IDENTIFICATION DOCUMENTS

3.1. ZayZoon may require identification documents from you prior to paying the Referral Fee, or related tax documents.

3.2. ZayZoon shall not be in breach of this Agreement (nor have any obligation to pay you a Referral Fee) if you do not (in ZayZoon’s sole and absolute discretion) provide the identification documents requested by ZayZoon.

4. DATA PROTECTION

You represent and warrant to us that you have obtained the express consent from the individuals whose data you provide to us as part of this Referral Program.

5. ABUSE OF THE REFERRAL TERMS

5.1. ZayZoon has the right to refuse to pay you the Referral Fee if (in its sole and absolute discretion) ZayZoon suspects that you have not used the Referral Program in good faith or have breached this Agreement.

5.2. We will determine, in our sole and absolute discretion, whether there has been a breach of this Agreement. When a breach of this Agreement has occurred, ZayZoon may take such action as we deem appropriate, including (but not limited to) termination of this Agreement, closing your account(s), closing third party account(s) and suspending the Referral Program.

6. LIMITATION OF LIABILITY

ZayZoon accepts no liability for any use of the Referral Program which does not comply with this Agreement.

7. CHANGES TO THIS AGREEMENT

We may revise this Agreement at any time by amending this page. Continued use of the Referral Program shall amount to acceptance of the Agreement in force at that time.

8. CHANGES TO THE REFERRAL PROGRAM

ZayZoon reserves the right to:

(a) amend, alter or change the Referral Program at any time, without notice; and

(b) terminate the Referral Program at any time, without notice. In the event the Referral Program is terminated, ZayZoon will not be obliged to credit any accounts that would have otherwise qualified for Referral Fee following such termination of the Referral Program. For clarity, ZayZoon will pay all Referral Fees that have become payable prior to such termination.

9. APPLICABLE LAW

10.1. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of the United States and the state of Arizona.

10.2. Each party irrevocably agrees that the courts of Arizona shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims).
