OPEN ONLY TO ELIGIBLE EMPLOYEES OF PARTICIPATING PARTNERS (AS DEFINED BELOW) WHO ARE LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA. CLIENTS OF PARTICIPATING PARTNERS AND THEIR EMPLOYEES ARE NOT ELIGIBLE. VOID WHERE PROHIBITED. BY ENTERING, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING.

1. SPONSOR

The ZayZoon “Happier Holidays” Partner Sweepstakes (the “Sweepstakes”) is sponsored by ZayZoon US Operating Inc., Suite 300, 15051 N. Kierland Boulevard, Scottsdale, Arizona 85254 (“Sponsor” or “ZayZoon”). The Sweepstakes is not sponsored, endorsed or administered by Amazon, PrismHR, PRO Software, Execupay or any Participating Partner.

2. ELIGIBILITY

2.1 The Sweepstakes is open only to individuals who, at the time of entry and at the time of prize award: (a) are legal residents of the fifty (50) United States or the District of Columbia, (b) have reached the age of majority in their state of residence, and (c) are employees of a Participating Partner. A “Participating Partner” is an organization that has a current written partnership agreement with Sponsor and offers ZayZoon through the PrismHR, PRO Software or Execupay platform, but excluding Vensure Employer Solutions and each of its parent, subsidiary and affiliated companies.

2.2 The following individuals are not eligible: (a) officers, directors, employees and contractors of Vensure Employer Solutions and each of its parent, subsidiary and affiliated companies, including any professional employer organization or payroll company owned or controlled by Vensure, (b) clients of any Participating Partner, and the owners, officers and employees of those clients, (c) officers, directors, employees and contractors of Sponsor and its parent, subsidiary and affiliated companies, and (d) the immediate family members (spouse, parents, siblings and children) and household members of anyone described in (c).

2.3 By entering, each entrant represents that their participation in the Sweepstakes, and their acceptance of a prize if selected, are permitted by their employer’s policies. See Section 8.

2.4 The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void where prohibited.

3. PROMOTION PERIOD

The Sweepstakes begins at 12:00:00 a.m. Eastern Time (“ET”) on November 16, 2026 and ends at 11:59:59 p.m. ET on December 13, 2026 (the “Promotion Period”). Sponsor’s email server is the official timekeeping device for the Sweepstakes.

4. HOW TO ENTER

4.1 Share. During the Promotion Period, share information about ZayZoon with one or more of your clients by email, social media post or other written communication (a “Share”).

4.2 Submit. During the Promotion Period, email a screenshot, copy or link of your Share to peopartners@zayzoon.com with the subject line “Happier Holidays.” Your entry must be sent from your Participating Partner work email address. The holder of that email account will be deemed the entrant.

4.3 Share requirements. To be eligible, each Share must: (a) be accurate, and describe ZayZoon consistently with the marketing materials provided by ZayZoon for the Sweepstakes, (b) not make any statement about ZayZoon’s fees, pricing, availability, or legal or regulatory status beyond what those materials say, (c) if it is a public social media post, clearly disclose your connection to the Sweepstakes, for example by including #Sweepstakes or #ZayZoonPartner, (d) be sent only to clients or business contacts with whom you or your employer have an existing business relationship, (e) not be sent by text message, autodialed call or prerecorded message, (f) comply with all applicable laws, including the CAN-SPAM Act and the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising, and with your employer’s policies, and (g) not be false, misleading, defamatory, disparaging, obscene or infringing of any third party’s rights.

4.4 Protect client information. Before you submit your screenshot or copy, remove or obscure any personal information of your clients’ personnel, such as individual names, email addresses and phone numbers. Sponsor does not need that information to verify your entry.

4.5 Limit. One (1) entry per person for the entire Promotion Period, regardless of the number of Shares made or emails submitted. Additional submissions will be disregarded.

4.6 Sponsor may, in its sole discretion, disqualify any entry or entrant that does not comply with these Official Rules. Use of any automated system to enter is prohibited. Sponsor is not responsible for lost, late, incomplete, misdirected or undeliverable entries, or for entries not received due to email filtering or technical failures. All such entries are void.

4.7 Sponsor may, but is not required to, display or repost any public social media Share submitted as an entry, with attribution to the entrant, in connection with the Sweepstakes.

5. DRAWINGS

5.1 Drawing 1. On or about Monday, November 30, 2026, Sponsor will randomly select one (1) potential winner from all eligible entries received between 12:00:00 a.m. ET on November 16, 2026 and 11:59:59 p.m. ET on November 29, 2026.

5.2 Drawing 2. On or about Monday, December 14, 2026, Sponsor will randomly select one (1) potential winner from all eligible entries received during the Promotion Period, other than the entry selected as the winner in Drawing 1. Eligible non-winning entries from Drawing 1 are automatically included in Drawing 2, so entries received by November 29, 2026 have two chances to win.

5.3 Odds of winning depend on the number of eligible entries received. Sponsor’s decisions on all matters relating to the Sweepstakes are final and binding.

6. PRIZES

Two (2) prizes will be awarded, one (1) in each drawing. Each prize is one (1) Amazon.com eGift Card with a value of US$500, delivered by email from Amazon to the winner’s Participating Partner work email address within approximately ten (10) business days after the winner is verified. Approximate retail value (“ARV”) of each prize: US$500. Total ARV of all prizes: US$1,000. Limit one (1) prize per person. Prizes are non-transferable and may not be exchanged for cash, except as Section 8 permits for a winner’s employer. Sponsor may substitute a prize of equal or greater value if the stated prize becomes unavailable. Sponsor is not responsible for any eGift Card that is lost, stolen, filtered as spam, or not received because of an incorrect or changed email address. Use of the eGift Card is subject to Amazon’s terms (see Section 10).

7. WINNER NOTIFICATION AND ALTERNATE WINNERS

7.1 Each potential winner will be notified by email at the address used to enter, within approximately two (2) business days after the applicable drawing. To claim the prize, the potential winner must reply within five (5) business days after notice is sent, confirming that they meet the eligibility requirements and that their employer’s policies permit them to accept the prize. Sponsor may require the potential winner to sign a declaration of eligibility and release as a condition of receiving the prize.

7.2 If a potential winner cannot be contacted, does not reply in time, is found ineligible or not in compliance with these Official Rules, declines the prize, is not permitted by their employer’s policies to accept the prize, or if the prize cannot be awarded to that person for any other reason, the prize will be forfeited and Sponsor may, in its sole discretion, select an alternate winner by random drawing from the remaining eligible entries for that drawing. Sponsor will conduct no more than three (3) alternate drawings for each prize, after which that prize may remain unawarded.

7.3 Sponsor may inform the winner’s employer of the prize award.

8. EMPLOYER GIFT POLICIES

Each prize is subject to the gift, ethics, conflict of interest and similar policies of the winner’s employer. Each winner is solely responsible for confirming that their employer’s policies permit them to accept the prize. If those policies prohibit or limit acceptance, the winner must decline the prize or, if the employer permits, accept it on the employer’s behalf and handle it as the employer directs. Sponsor will treat delivery to the winner as full delivery of the prize and has no responsibility for how the prize is handled after delivery. The prizes are not intended to influence any business decision of any Participating Partner or its clients. Entry and winning are not conditioned on any client enrolling with, purchasing from or using ZayZoon, or on any other business outcome.

9. TAXES

Each winner is responsible for all federal, state and local taxes associated with the prize. Sponsor will issue any tax reporting forms required by law and may require a winner to provide a completed IRS Form W-9 as a condition of receiving the prize.

10. AMAZON DISCLAIMER

Amazon is not a sponsor of this promotion. Amazon.com Gift Cards (“GCs”) may be redeemed on the Amazon.com website towards the purchase of eligible products listed in our online catalog and sold by Amazon.com or any other seller selling through Amazon.com. 11. RELEASE AND PUBLICITY

11.1 By entering, each entrant agrees to release and hold harmless Sponsor, Amazon, PrismHR, PRO Software, Execupay, each Participating Partner, and each of their respective parent, subsidiary and affiliated companies, and their officers, directors, employees and agents (the “Released Parties”), from any claim or cause of action arising out of participation in the Sweepstakes or the receipt, use or misuse of any prize.

11.2 Except where prohibited, Sponsor may announce each winner’s first name, last initial and employer in connection with the Sweepstakes. Any other use of a winner’s name, likeness or statements for promotional purposes requires the winner’s separate prior consent.

12. GENERAL CONDITIONS

Sponsor may cancel, suspend or modify the Sweepstakes if fraud, technical failure, human error or any other factor impairs its integrity or proper functioning, or if any event beyond Sponsor’s control interferes with it, as determined by Sponsor in its sole discretion. In that case, Sponsor may award the prizes by random drawing from among eligible entries received before the action. Sponsor may disqualify any individual it finds tampering with the entry process or acting in violation of these Official Rules. Sponsor’s failure to enforce any term of these Official Rules is not a waiver of that term. If any provision is held invalid, the remaining provisions remain in effect.

13. LIMITATION OF LIABILITY

To the extent permitted by law, the Released Parties are not responsible for: (a) incorrect or inaccurate information, whether caused by entrants or by any equipment or programming used in the Sweepstakes, (b) technical failures of any kind, (c) unauthorized human intervention in any part of the entry process or the Sweepstakes, (d) technical or human error in the administration of the Sweepstakes or the processing of entries, or (e) any injury or damage to persons or property caused, directly or indirectly, by participation in the Sweepstakes or the receipt, use or misuse of any prize. No more than the stated number of prizes will be awarded.

14. DISPUTES

Except where prohibited, each entrant agrees that: (a) any dispute, claim or cause of action arising out of or connected with the Sweepstakes or any prize will be resolved individually, without resort to any form of class action, exclusively in the United States District Court for the District of Delaware or the appropriate Delaware state court, and (b) to the extent permitted by law, any award will be limited to actual out-of-pocket costs incurred in entering the Sweepstakes, excluding attorneys’ fees, and the entrant waives any right to claim indirect, punitive, incidental or consequential damages. These Official Rules are governed by the laws of the State of Delaware, without regard to its conflict of law rules.

15. PRIVACY

Information collected from entrants is used to administer the Sweepstakes and is subject to Sponsor’s Privacy Policy at https://www.zayzoon.com/usaprivacy/.
