BY PARTICIPATING, YOU AGREE TO THESE OFFICIAL RULES, WHICH FORM A BINDING CONTRACT. THIS CONTRACT INCLUDES AN INDEMNITY IN FAVOR OF THE SPONSOR (DEFINED BELOW), A LIMITATION OF YOUR RIGHTS AND REMEDIES, AND AN AGREEMENT THAT ALL DISPUTES WILL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS (SEE RULE 11).

EACH POTENTIAL WINNER MAY BE REQUIRED, AS DETERMINED BY THE SPONSOR IN ITS SOLE DISCRETION, TO COMPLETE AND SIGN PRIZE CLAIM DOCUMENTATION, INCLUDING A RELEASE AND TAX DOCUMENTATION, AS A CONDITION OF BEING AWARDED A PRIZE.

1. Contest Description

ZayZoon US Operating Inc. (“ZayZoon” or the “Sponsor”) is running the G&A x ZayZoon Referral Contest (the “Contest”). The Contest begins at 12:01:00 a.m. Mountain Time on June 1, 2026 (the “Start Time”) and ends at 11:59:59 p.m. Mountain Time on July 24, 2026 (the “Entry Period”). Eligible individuals may earn ballots and qualify for the prizes described in Rule 5. The Contest is governed by these Official Rules. Void where prohibited.

2. Who Is Eligible

The Contest is open only to individuals who, at the time of participation, are (a) legal residents of the fifty United States or the District of Columbia, (b) eighteen (18) years of age or older, and (c) active representatives of G&A Partners (“G&A” or the “Partner”) in good standing (each, a “Participant”). No purchase is necessary.

The following persons are NOT eligible: (a) directors, officers, employees, and agents of ZayZoon US Operating Inc., its parent and affiliated companies, and their respective subsidiaries and service agencies; (b) any person involved in the development, administration, or promotion of the Contest; and (c) the immediate family members (spouse, IRS dependent, or biological, foster, in-law, adoptive, or step- parent, child, or sibling) of, or persons residing in the same household as, any person described in (a) or (b).

Each Participant unconditionally accepts and agrees to comply with these Official Rules. Participation is also subject to G&A’s authorization of the Contest and to G&A’s internal policies governing representative compensation and conduct.

3. How to Earn Ballots and Qualify

Eligible Referral. During the Entry Period, a Participant earns credit for each “Eligible Referral.” A referral qualifies as an Eligible Referral only if the referred employer client (a “Client”): (a) has at least ten (10) employees; (b) is referred by the Participant using ZayZoon’s designated referral link or process, with both SMS and email client invitations sent on or before 11:59:59 p.m. Mountain Time on July 24, 2026; (c) schedules a demonstration with ZayZoon on or before July 24, 2026 using the scheduling link provided; (d) had not previously been in contact with ZayZoon and was not already in ZayZoon’s sales pipeline; and (e) has not been referred to ZayZoon by any other party. Where the same Client is referred by more than one person, the first referral received by ZayZoon controls.

Ballots. Ballots are earned as set out in the table below. Milestone bonuses do not stack with one another; only the highest milestone reached applies. Size bonuses stack and are awarded per qualifying Client.

Worked example. A Participant with 30 Eligible Referrals, of which 5 Clients have 50 or more employees and 2 Clients have 100 or more employees, earns: 30 (base) + 50 (30-referral milestone) + 15 (5 Clients at 50+ x 3) + 10 (2 Clients at 100+ x 5) = 105 ballots.

Eligibility determination. The Sponsor determines in its sole discretion whether a referral is an Eligible Referral and whether a Participant has met any qualifying minimum. Any referral found to violate these Official Rules will be disqualified.

Anti-spam and conduct. Each Participant represents and warrants that their referral activity will (a) comply with all applicable laws, including all applicable anti-spam and telemarketing laws (for example CAN-SPAM and the TCPA), and (b) comply with ZayZoon’s Privacy Policy. Client invitations must be sent only to recipients the Participant is lawfully permitted to contact. The Sponsor may disqualify any Participant whose activity violates this Rule.

BECAUSE PARTICIPANTS MAY RECEIVE REFERRAL COMPENSATION FROM ZAYZOON FOR REFERRALS, AND ANY SUCH REFERRAL COMPENSATION IS PAYMENT FOR THE WORK PERFORMED IN MAKING THE REFERRAL, EACH PARTICIPANT REPRESENTS THAT THEIR DECISION TO REFER ANY CLIENT IS BASED ON THE CLIENT’S INTERESTS AND IS NOT INDUCED BY THIS CONTEST.

4. Contest Period and Leaderboard

The Sponsor expects to circulate a leaderboard on a weekly basis during the Entry Period. The leaderboard is provided for informational purposes only and is not binding. Final standings and ballot counts are determined by the Sponsor after the close of the Entry Period.

5. Prizes

There are three (3) prizes, with a total value of $3,000 USD:

Grand Raffle	$750 USD	Awarded by random draw from all ballots earned during the Entry Period. No minimum number of referrals required.

 

The Grand Raffle winner will be selected in a random drawing from among all ballots earned during the Entry Period, conducted on or about July 31, 2026. The Top Reach and Top Referrer winners will be determined from final standings on the same date. The announcement of any winner is conditional on the Sponsor successfully contacting that winner under Rule 6 and on the winner completing all required Prize Claim Documents. A Participant may win more than one prize. These prizes are in addition to any compensation payable under the ZayZoon Partner Rewards program.

In the event of a tie for Top Reach or Top Referrer, the tied Participant who reached the qualifying threshold earliest (by timestamp of the qualifying referral) will be the winner.

6. Winner Notification

The Sponsor will notify each potential winner by email to the address on file. Each potential winner must respond within seventy-two (72) hours of notification and must then complete and return all prize claim documents (“Prize Claim Documents”) within the time specified by the Sponsor, failing which the prize will be forfeited and an alternate winner may be selected. It is each Participant’s responsibility to ensure their email settings permit receipt of messages from the Sponsor. If a potential winner cannot be contacted or fails to respond within the required time, the Sponsor may contact up to three (3) alternate winners, after which the prize may go unawarded.

7. Prize Conditions and Taxes

All expenses and fees associated with acceptance and use of a prize that are not expressly stated as part of the prize are the sole responsibility of the winner. Prizes are non-assignable and non-transferable except with the Sponsor’s prior written approval, which may be withheld for any reason. A prize that is not claimed will not be awarded.

Cash prizes are taxable income. Each winner is solely responsible for all taxes arising from a prize. As a condition of award, a winner may be required to provide a valid taxpayer identification number and to complete tax documentation (for example, an IRS Form W-9). The Sponsor will issue an IRS Form 1099 to each winner for the value of the prize where required by law and may withhold and remit amounts required by law.

8. General Release and Conditions of Participation

The Sponsor and its parent, subsidiary, and affiliated companies, and all of their respective officers, directors, agents, representatives, and employees (collectively, the “Contest Entities”), are not responsible for: (a) lost, late, misdirected, incomplete, or undeliverable communications or Prize Claim Documents; (b) any technical or network failures, errors, or malfunctions of any kind; (c) any typographical or other errors in these Official Rules or any Contest materials; or (d) any incorrect or inaccurate information, whether caused by tampering, hacking, or otherwise, in connection with the Contest.

To the fullest extent permitted by law, each Participant releases and agrees to indemnify and hold harmless the Contest Entities from and against any and all costs, injuries, losses, or damages of any kind arising out of or in connection with participation in the Contest or the receipt, use, or misuse of any prize.

By participating, each verified winner grants the Sponsor the right, but not the obligation, to use the winner’s name, city and state, and any statements attributed to the winner, in any media for advertising and promotional purposes in connection with the Contest, without further compensation, except where prohibited by law and except as otherwise required by applicable publicity-rights law.

9. Disqualification

It is each Participant’s responsibility to comply in full with these Official Rules. The Sponsor reserves the right, in its sole discretion, to disqualify any person found to be tampering with the Contest, acting in violation of these Official Rules, or acting in a disruptive or abusive manner. The Sponsor may seek damages and other remedies, including attorneys’ fees, from any such person to the fullest extent permitted by law.

10. Modification, Termination, and Force Majeure

The Sponsor reserves the right, without prior notice and at any time, to terminate, modify, suspend, or extend the Contest if it determines in its sole discretion that the Contest cannot be conducted as contemplated, including by reason of fraud, technical failure, error, or any cause beyond the Sponsor’s reasonable control. No more than the prizes described in these Official Rules will be awarded. These Official Rules may be amended only in writing by a duly authorized representative of the Sponsor.

11. Arbitration and Class Waiver

Any claim or dispute arising out of or relating to the Contest will be resolved exclusively by final and binding arbitration administered by JAMS before a single arbitrator under the JAMS Comprehensive Arbitration Rules and Procedures. This arbitration agreement is governed by the Federal Arbitration Act. The arbitrator will apply Arizona law. The arbitration will be held at a location reasonably convenient to the Participant or as otherwise agreed. THERE IS NO RIGHT TO ARBITRATE ON A CLASS OR REPRESENTATIVE BASIS, AND EACH PARTICIPANT AND THE SPONSOR WAIVE ANY RIGHT TO PURSUE CLASS OR REPRESENTATIVE CLAIMS. Where arbitration fees exceed $250, the Sponsor will pay the excess, subject to allocation by the arbitrator. If the class-waiver provision is held unenforceable, this entire arbitration provision is void. This provision binds both the Participant and the Sponsor.

12. Governing Law

These Official Rules are governed by the internal laws of the State of Arizona, without regard to conflict-of-law principles, subject to the Federal Arbitration Act with respect to Rule 11.

13. Privacy

Participant information collected in connection with the Contest will be used in accordance with the ZayZoon Privacy Policy available on the ZayZoon website.

14. Severability

If any provision of these Official Rules is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Winners List

To request the names of the winners, email Contest@zayzoon.com. Requests must be received by October 31, 2026. Winner names will be available after the Contest ends and the prizes have been awarded.
