THIS CLIENT SMS RELAY AUTHORIZATION (“AUTHORIZATION”) GOVERN CERTAIN SMS COMMUNICATIONS BETWEEN YOU AND YOUR EMPLOYEES, AS FACILITATED BY ZAYZOON.

By checking the box or clicking “Opt In”, you, the Client, acknowledge and agree to the following:

1. Authorization to Relay Messages
   You authorize ZayZoon US Inc. and its affiliates (collectively, “ZayZoon”) to act solely as an intermediary, upon your explicit request, to relay SMS message content that you provide or approve to a designated third-party SMS service provider for delivery to your employees. ZayZoon will not originate or directly send SMS messages to employees.

   The messages may include:
   
   Initial Invite: "[CompanyName] has invited you to use ZayZoon. Click the link to accept your invite and access your wages instantly: [URL] Reply STOP to cancel."
   Follow-up Invite: "Hi [FirstName], [CompanyName] has partnered with ZayZoon to help you get access to your wages. Learn more: [URL] Reply STOP to cancel."
   
   

2. Content and Compliance
   You understand and agree that the messages sent to your employees will be limited to the invite messages listed above (or similar) and will not include any additional or customized content that is materially different from the example content. 

3. Representation of Authority
   You represent and warrant that you have the legal authority to communicate with your employees via SMS and to authorize ZayZoon to facilitate such communications on your behalf. You further represent that you have obtained, or will obtain, all necessary permissions and consents from your employees to receive SMS communications related to their employment or benefits.

4. Data Handling and Logs
   ZayZoon may be in possession of employee phone numbers solely for the purpose of facilitating the message relay described above. ZayZoon will maintain internal logs confirming your authorization to transmit messages through this process. These logs may be retained for audit or regulatory purposes.

5. No Independent Messaging by ZayZoon
   ZayZoon will not initiate SMS communications independently. No messages will be sent without your express direction and prior approval of the content.

6. Limitation of Role
   ZayZoon’s role is limited to facilitating the technical relay of message content. You acknowledge that ZayZoon does not act as a sender or originator under messaging laws, nor does it assume responsibility for the content, legality, or compliance of any messages relayed on your behalf.
